1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Pryonex platform and services available at https://pryonex.ai (the "Service"), operated by Pryonex ("we", "us", or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Description of Service

Pryonex is an AI-powered lead recovery and management platform designed for insurance agents. The Service includes:

• Lead management and organisation (capture, edit, archive, merge)
• AI-powered follow-up message generation
• Follow-up scheduling and reminders
• Smart dashboard with performance insights
• Calendar booking integration
• Lead capture tools (API, shareable links, QR codes, embeddable widgets)

3. Account Registration

To use the Service, you must create an account using Google OAuth. By registering, you represent that:

• You are at least 18 years of age.
• You are a licensed or registered insurance agent (or authorised representative of one).
• The information you provide is accurate, complete, and current.
• You are responsible for maintaining the security of your account credentials.
• You will notify us immediately of any unauthorised access to your account.

4. Subscription and Payment

4.1 Subscription Plans

The Service is offered on a monthly subscription basis. Pricing, features, and plan details are as displayed on the Service at the time of subscription. We reserve the right to modify pricing with 30 days' advance notice to existing subscribers.

4.2 Payment Terms

• All prices are quoted in Malaysian Ringgit (MYR) and are inclusive of applicable taxes.
• Payment is due at the beginning of each billing cycle.
• We accept payment methods as displayed on the Service (credit/debit cards, FPX, or other supported methods).
• Failed payments may result in suspension of your account after a 7-day grace period.

4.3 Refund Policy

We offer a 14-day money-back guarantee from the date of your first paid subscription. After 14 days, subscription fees are non-refundable. You may cancel your subscription at any time, and your access will continue until the end of the current billing period.

5. Data Ownership and Intellectual Property

5.1 Your Data

You retain full ownership of all lead data, contact information, and other content you input into the Service (Your Data). Pryonex acts as a data processor on your behalf. We will not use Your Data for any purpose other than providing the Service to you.

5.2 Data Export

You may request an export of Your Data at any time by contacting us. We will provide your data in a structured, commonly used format within 21 days of your request.

5.3 Our Intellectual Property

The Service, including its software, design, logos, trademarks, and all related intellectual property, is owned by Pryonex and is protected under the Malaysian Copyright Act 1987 and applicable international intellectual property laws. You may not copy, modify, distribute, reverse-engineer, or create derivative works based on the Service.

6. AI-Generated Content

The Service uses artificial intelligence to generate suggested follow-up messages for your leads. By using this feature, you acknowledge and agree that:

• AI-generated messages are suggestions only. You are solely responsible for reviewing, editing, and approving all messages before sending them to any person.
• AI-generated messages do not constitute financial advice, insurance advice, or any form of professional advisory service.
• Pryonex is not liable for any loss, damage, or consequence arising from your use of AI-generated messages.
• You must ensure that any messages you send comply with applicable laws, regulations, and your agency's policies.
• The quality of AI-generated messages depends on the accuracy and completeness of the data you provide.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Upload, store, or transmit any unlawful, fraudulent, or misleading content.
• Send unsolicited commercial communications (spam) to leads or contacts.
• Attempt to gain unauthorised access to the Service, other users' accounts, or our systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service for any purpose other than legitimate insurance agency business.
• Share your account credentials with third parties or allow multiple individuals to use a single account.

Violation of these terms may result in immediate suspension or termination of your account.

8. Service Availability and Modifications

We strive to maintain the Service's availability but do not guarantee uninterrupted or error-free operation. We reserve the right to:

• Perform scheduled maintenance with reasonable advance notice.
• Modify, update, or discontinue features of the Service.
• Suspend or restrict access during emergencies or security incidents.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory.
• Pryonex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
• Our total aggregate liability for any claim arising from or related to the Service shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.
• We are not responsible for any actions taken by you based on AI-generated content, including but not limited to messages sent to your leads.

10. Indemnification

You agree to indemnify, defend, and hold harmless Pryonex, its officers, directors, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) the content of messages you send using AI-generated suggestions.

11. Termination

11.1 Termination by You

You may cancel your subscription and terminate your account at any time through your account settings or by contacting us. Your access will continue until the end of your current billing period.

11.2 Termination by Us

We may suspend or terminate your account immediately if you: (a) breach these Terms; (b) engage in fraudulent or illegal activity; (c) fail to pay subscription fees after the grace period; or (d) use the Service in a manner that harms other users or the Service.

11.3 Effect of Termination

Upon termination: (a) your right to use the Service ceases immediately; (b) we will retain Your Data for 30 days, during which you may request an export; (c) after 30 days, Your Data will be permanently deleted from our systems.

12. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any dispute arising from these Terms or the Service shall be resolved as follows:

• Informal Resolution: The parties shall first attempt to resolve any dispute informally by contacting us.
• Mediation: If informal resolution fails within 30 days, the dispute shall be referred to mediation in accordance with the Asian International Arbitration Centre (AIAC) Mediation Rules.
• Jurisdiction: If mediation fails, the dispute shall be submitted to the exclusive jurisdiction of the courts of Malaysia.

13. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pryonex regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure: We shall not be liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or internet disruptions.

14. Changes to These Terms

We may modify these Terms at any time. We will provide at least 30 days' notice of material changes via the Service or email. Your continued use of the Service after the effective date of changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.
